End User License Agreement

This End User License Agreement ("Agreement") is a legal agreement between Build Pro LLC ("Build Pro," "Company," "Licensor," "we," "us," or "our") and the individual or business entity accessing or using the Build Pro Portal ("Customer," "you," or "your"). By creating an account, accepting an invitation, accessing the Build Pro Portal, or using any related services, you agree to be bound by this Agreement.

If you are accepting this Agreement on behalf of a company or other legal entity, you represent that you have authority to bind that entity to this Agreement. If you do not agree to this Agreement, do not access or use the Build Pro Portal.

The Build Pro Portal is a web-based software platform designed to help contractors and trade businesses manage onboarding, dashboards, scorecards, financial visibility, planning tools, AI-supported insights, training content, and related business workflows. Features may include account management, QuickBooks integrations, dashboard analytics, training content, coach communication, and AI-generated assistance.

Subject to your compliance with this Agreement and any applicable order form, subscription terms, or service plan, Build Pro grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Build Pro Portal for your internal business purposes during the applicable subscription term.

No sale of software is made under this Agreement. All rights not expressly granted are reserved by Build Pro.

You must provide accurate and complete registration information and keep it current. You are responsible for maintaining the confidentiality of login credentials, for all activity under your account, and for ensuring that invited users under your organization use the service in compliance with this Agreement.

You must promptly notify Build Pro if you believe your account, password, or connected integrations have been compromised.

The Build Pro Portal may collect or receive data that you submit directly, data entered by authorized users on your behalf, data uploaded as files or documents, and data received through connected services such as QuickBooks Online. Clear, accessible notices describing collection, use, sharing, storage, retention, and security are a core privacy expectation for data-enabled services.

You represent and warrant that you have all necessary rights, permissions, and authorizations to submit data to the Build Pro Portal and to connect third-party systems, including accounting systems, communication tools, or document repositories.

The Build Pro Portal may provide AI-assisted summaries, recommendations, answers, workflow suggestions, and other generated outputs based on user inputs, account data, uploaded materials, connected system data, and internal Build Pro methodologies. AI-generated outputs are provided to support business decision-making and training, but they are not legal, tax, accounting, employment, or financial advice.

You are solely responsible for reviewing AI outputs and determining whether they are appropriate for your specific business circumstances before relying on them.

You agree not to, and not to permit any user to:

• Copy, reproduce, modify, adapt, distribute, sell, lease, sublicense, or commercially exploit the Build Pro Portal except as expressly permitted.
• Reverse engineer, decompile, disassemble, or attempt to derive source code, underlying models, prompts, or system logic except to the extent prohibited by law.
• Use the service to upload unlawful, infringing, defamatory, abusive, fraudulent, or malicious content.
• Use the service to transmit malware, destructive code, or harmful automated requests.
• Circumvent security features, access controls, usage limits, or account restrictions.
• Use the service to build or train a competing product or benchmark the platform for public competitive comparison without written permission.
• Misrepresent identity, access another user's account without authorization, or interfere with service operation.

Build Pro and its licensors retain all right, title, and interest in and to the Build Pro Portal, including all software, workflows, interfaces, training structures, written materials, graphics, branding, proprietary methodologies, AI system configuration, and related intellectual property. Except for the limited access rights expressly granted in this Agreement, no rights are transferred to you.

As between the parties, you retain ownership of the content, information, documents, and business data you submit to the service, subject to the rights you grant to Build Pro to host, process, display, transmit, analyze, and use that data as necessary to provide, secure, support, and improve the service in accordance with the Privacy Policy.

If you provide feedback, suggestions, ideas, or improvement requests, Build Pro may use them without restriction or obligation to you.

The Build Pro Portal may interoperate with third-party services, including QuickBooks Online, YouTube, communication platforms, hosting providers, analytics providers, or payment processors. Your use of third-party services may also be governed by those providers' terms and privacy policies. Build Pro is not responsible for third-party services, their availability, or their practices, except as expressly stated in this Agreement or the Privacy Policy.

Build Pro may add, remove, modify, or update features from time to time. The Company may perform maintenance, security updates, or service changes that affect access or functionality. Build Pro will use commercially reasonable efforts to maintain service availability but does not guarantee uninterrupted or error-free access.

If your access is subject to a subscription, service plan, or paid engagement, you agree to pay all applicable fees under the order form, invoice, coaching agreement, or service package governing your account. Unless otherwise stated in writing, fees are non-refundable except where required by law.

Build Pro may suspend or terminate access immediately if:

• You materially breach this Agreement.
• Your use creates security, legal, or operational risk.
• Fees remain unpaid beyond any applicable cure period.
• Build Pro is required to do so by law.

You may stop using the service at any time, but termination does not relieve payment obligations already incurred. Upon termination, access rights end immediately, and Build Pro may delete or de-identify data in accordance with the Privacy Policy, retention obligations, contractual requirements, and applicable law.

Each party may receive confidential information from the other. The receiving party will use the other party's confidential information only as necessary to perform under this Agreement and will protect it using reasonable safeguards. Confidential information does not include information that is publicly available without breach, already known without duty of confidentiality, independently developed, or lawfully received from a third party.

To the maximum extent permitted by law, the Build Pro Portal, all content, all AI outputs, all training materials, and all related services are provided "as is" and "as available" without warranties of any kind, whether express, implied, statutory, or otherwise. Build Pro disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and any warranties arising from course of dealing or usage of trade.

Build Pro does not warrant that the service will be uninterrupted, secure, error-free, or that results or recommendations will always be accurate, complete, or suitable for your particular business.

To the maximum extent permitted by law, Build Pro and its affiliates, owners, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, business interruption, data, or other intangible losses arising out of or related to the service or this Agreement, even if advised of the possibility of such damages.

To the maximum extent permitted by law, Build Pro's total aggregate liability for all claims arising out of or related to the service or this Agreement will not exceed the greater of (a) the amounts paid by you to Build Pro for the service in the twelve months preceding the event giving rise to the claim, or (b) $100.

You agree to defend, indemnify, and hold harmless Build Pro and its affiliates, owners, officers, employees, contractors, licensors, and service providers from and against any claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to:

• Your use of the service.
• Your data or connected systems.
• Your violation of this Agreement.
• Your infringement or violation of any third-party rights.

You agree to use the Build Pro Portal in compliance with all applicable laws, regulations, and contractual obligations, including those related to privacy, data access, employment, taxation, accounting, and export controls, as applicable to your business.

This Agreement is governed by the laws of the State of [Insert State], without regard to its conflict of laws rules. Any dispute arising under this Agreement will be resolved exclusively in the state or federal courts located in [Insert County and State], and the parties consent to personal jurisdiction and venue in those courts, unless another written dispute process is agreed in a signed contract.

Build Pro may update this Agreement from time to time. If changes are material, Build Pro may provide notice by email, in-product notice, or by posting the updated Agreement with a new effective date. Your continued use of the service after the effective date of the updated Agreement constitutes acceptance of the revised terms.

This Agreement, together with any order form, service agreement, subscription terms, and the Privacy Policy, forms the entire agreement between the parties regarding use of the Build Pro Portal and supersedes prior discussions relating to the subject matter.
